Terms of Service

These Terms of Service (“Terms”) govern access to workpilo.com and the services offered under the Workpilo brand.

Workpilo is operated by CHBT LLC, a Wyoming limited liability company.

By requesting an estimate, accepting an estimate, paying an invoice, or using a Workpilo service, you agree to these Terms.

Please read them carefully before purchasing a service.

1. Company Information

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase Workpilo services.

If you act on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Workpilo Services

Workpilo provides digital business operations and related professional services.

Services may include areas such as:

  • data organization
  • spreadsheet and CSV work
  • document preparation
  • business administration
  • research
  • e-commerce operational support
  • product catalogue organization
  • website and software quality assurance
  • CRM and customer data organization
  • workflow support
  • other related digital services.

The exact scope of a service is determined by the applicable service description and the estimate agreed between Workpilo and the customer.

4. Website Service Descriptions

Information displayed on workpilo.com is intended to provide a general description of available services.

Service descriptions may include:

  • example deliverables
  • typical use cases
  • indicative turnaround times
  • starting prices.

Website descriptions do not create an obligation for Workpilo to perform work outside the scope ultimately agreed with the customer.

The estimate provided for a particular project takes priority over general website information where the two differ.

5. Starting Prices

Prices displayed on the Workpilo website are generally starting prices.

For example:

Starting from $25 USD

A starting price is not necessarily the final price for your project.

Final pricing may depend on factors such as:

  • project scope
  • quantity
  • complexity
  • condition of supplied files or data
  • required output
  • requested turnaround
  • research required
  • additional requirements
  • changes requested by the customer.

You will be informed of the proposed price before payment is required.

6. Requesting an Estimate

The normal purchasing process begins with an estimate request.

You may be asked to provide information such as:

  • the service required
  • a description of the work
  • files or materials
  • quantity or project size
  • desired deadline
  • required output
  • other relevant instructions.

Submitting an estimate request does not create an obligation to purchase and does not require immediate payment.

Workpilo may request additional information before providing an estimate.

7. Estimates

After reviewing your requirements, Workpilo may provide an estimate containing information such as:

  • agreed project scope
  • price
  • deliverables
  • expected turnaround
  • required customer materials
  • revision terms where applicable
  • other project specific conditions.

An estimate may have an expiration date if stated in the estimate.

Workpilo may revise an estimate before acceptance if the information supplied by the customer changes or proves incomplete or inaccurate.

8. Acceptance and Formation of the Service Agreement

A customer may accept an estimate through the communication method specified by Workpilo.

After acceptance, Workpilo will normally provide a private invoice or payment link.

Unless otherwise agreed in writing, a binding service agreement is formed when:

  1. the project scope and price have been accepted and
  2. Workpilo receives the required payment.

The accepted estimate, these Terms, and any additional written project specific conditions form the agreement between Workpilo and the customer.

If project specific written terms conflict with these general Terms, the project specific terms will control for that particular project.

9. Payment

Workpilo does not currently provide public website checkout.

After an estimate is accepted, Workpilo privately provides an invoice or payment link based on the agreed payment method.

Available methods may vary and may include:

  • PayPal
  • credit or debit card through a payment provider
  • bank transfer
  • another method agreed with the customer.

Unless expressly agreed otherwise, payment must be received before work begins.

Payment processing may be performed by third party banks or payment providers and may be subject to their own terms.

You are responsible for providing accurate billing information.

10. Customer Responsibilities

You are responsible for providing:

  • accurate project information
  • complete instructions
  • files required for the work
  • access or permissions where necessary and lawful
  • timely responses to reasonable questions
  • any information necessary to complete the agreed service.

You are responsible for reviewing the scope described in the estimate before accepting it.

Delays caused by incomplete information, missing files, incorrect instructions, unavailable access, or delayed customer responses may affect the delivery schedule.

11. Customer Materials

You retain ownership of materials you provide to Workpilo.

By providing materials to Workpilo, you give Workpilo permission to use, copy, process, modify, or otherwise handle those materials only to the extent reasonably necessary to:

  • prepare an estimate
  • provide the requested service
  • communicate with you
  • comply with legal obligations
  • protect Workpilo’s legal rights.

You represent that you have the necessary rights and lawful authority to provide all materials submitted to Workpilo.

You must not provide materials that unlawfully infringe another person’s:

  • copyright
  • trademark
  • privacy rights
  • confidentiality rights
  • intellectual property
  • contractual rights
  • other legal rights.

12. Personal Data Supplied by Customers

Certain services may involve data relating to third parties, such as customer lists, contact records, CRM information, or business databases.

You are responsible for ensuring that you have a lawful basis and authority to provide such data to Workpilo.

Workpilo will use customer-supplied data only as reasonably necessary to perform the agreed service, comply with lawful instructions, or meet legal obligations.

Do not provide unnecessary sensitive personal information.

13. Changes in Scope

An estimate applies only to the scope originally agreed.

If you request additional work or materially change the requirements after accepting an estimate, Workpilo may:

  • provide an additional estimate
  • revise the price
  • revise the delivery schedule
  • treat the additional work as a separate service.

Workpilo is not required to perform work outside the agreed scope without agreement regarding the additional requirements.

14. Delivery Time

Any turnaround time stated on the website is indicative unless confirmed in an estimate.

The expected delivery time for a specific project will normally be confirmed during the estimate process.

Delivery schedules may change because of circumstances including:

  • changes in scope
  • delayed customer responses
  • missing files or information
  • technical problems outside Workpilo’s reasonable control
  • third party service interruptions
  • force majeure events
  • other circumstances reasonably affecting performance.

If a significant delay occurs, Workpilo will make reasonable efforts to communicate with the customer.

15. Delivery

Completed work will be delivered using a reasonable method appropriate to the service.

This may include:

  • email
  • file attachment
  • file sharing link
  • another agreed delivery method.

A service is considered delivered when the agreed deliverables have been made available to the customer, subject to any revision rights specifically included in the service agreement.

16. Revisions

Revisions are included only when explicitly stated in:

  • the estimate
  • the service description
  • another written agreement between Workpilo and the customer.

A customer should not assume that unlimited or any revisions are included unless they are specifically stated.

Where revisions are included, they must relate to the originally agreed scope.

Requests that introduce new requirements, additional deliverables, or materially changed instructions may be treated as additional work and may require a new estimate.

17. Customer Review

Customers are responsible for reviewing delivered work before using, publishing, importing, distributing, or relying upon it.

If you identify a problem relating to the agreed scope, contact Workpilo as soon as reasonably possible and provide sufficient information to allow us to review the issue.

Where appropriate and where included in the agreement, Workpilo may correct qualifying issues before another remedy is considered.

18. Refunds and Cancellations

Refunds and cancellations are governed by the Workpilo Refund Policy.

In general:

  • an estimate request does not require payment
  • a full refund may be available if an eligible paid project is cancelled before work begins
  • after work begins, payments are generally non-refundable because time and resources have already been allocated
  • if Workpilo cannot deliver the agreed service, an appropriate full or partial refund may be issued
  • mandatory consumer rights remain unaffected.

19. Intellectual Property in Deliverables

Unless otherwise stated in an estimate or required by applicable law, once full payment has been received, the customer may use custom deliverables created specifically for that customer for the intended business or personal purpose described in the project.

Workpilo and its licensors retain ownership of:

  • pre-existing materials
  • reusable methods
  • processes
  • templates
  • tools
  • scripts
  • systems
  • know-how
  • generic structures
  • intellectual property developed independently of the customer’s project
  • third party materials.

Third party materials remain subject to their original licenses and ownership rights.

Nothing in these Terms transfers ownership of Workpilo’s brand, website, systems, source materials, internal tools, methods, or general know-how.

If a project requires different intellectual property arrangements, those arrangements must be stated in writing.

20. Third Party Content and Information

Some services may involve research, websites, software platforms, public information, third party data, or other external sources.

Workpilo will use reasonable care when performing agreed work but cannot guarantee that third party information will always remain:

  • accurate
  • complete
  • available
  • current
  • unchanged.

Customers remain responsible for independently verifying information where important business, financial, legal, medical, tax, regulatory, or other high-impact decisions depend on it.

21. No Professional Legal, Financial, Medical, or Tax Advice

Unless expressly agreed in writing and legally authorized, Workpilo does not provide:

  • legal advice
  • financial advice
  • investment advice
  • medical advice
  • tax advice.

Business support services, document formatting, research, data organization, or similar work should not be interpreted as professional advice in these regulated areas.

22. Prohibited Requests and Uses

Workpilo may refuse, suspend, or discontinue a request involving:

  • unlawful activity
  • fraud
  • deception
  • unauthorized access
  • infringement of third party rights
  • malicious software
  • abusive or harmful conduct
  • content or activity prohibited by applicable law
  • instructions that create unreasonable legal, security, or operational risk.

Workpilo is not obligated to accept every estimate request.

23. Confidentiality

Workpilo will take reasonable care when handling non-public information supplied for a project.

Unless separately agreed in writing, these Terms do not create a specialized non-disclosure agreement.

If your project requires specific confidentiality obligations or an NDA, contact Workpilo before providing the relevant confidential information.

24. Third Party Services

Workpilo may rely on third party providers for:

  • website hosting
  • email
  • communications
  • payment processing
  • file transfer
  • other infrastructure.

Third party services are governed by their own availability, policies, and terms.

Workpilo is not responsible for outages, interruptions, or actions of independent third party providers outside Workpilo’s reasonable control.

25. Service Quality and No Guaranteed Business Results

Workpilo will use reasonable care in performing accepted services.

However, purchasing a Workpilo service does not guarantee:

  • increased revenue
  • increased sales
  • increased website traffic
  • business growth
  • regulatory approval
  • acceptance by a third party platform
  • any specific commercial result.

Results may depend on factors outside Workpilo’s control.

26. Website Availability

We may modify, suspend, update, or discontinue parts of workpilo.com at any time.

We do not guarantee that the website will always be uninterrupted, error-free, or available.

Temporary interruptions may occur because of maintenance, hosting providers, internet infrastructure, technical problems, or circumstances outside our control.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Workpilo and CHBT LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or services.

This may include loss of profits, loss of revenue, loss of business opportunity, or indirect loss of data.

To the maximum extent permitted by law, the aggregate liability of Workpilo and CHBT LLC for a claim directly relating to a particular paid service will not exceed the amount the customer actually paid Workpilo for the service giving rise to that claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

28. Force Majeure

Workpilo will not be responsible for a failure or delay caused by circumstances reasonably outside its control.

Examples may include:

  • natural disasters
  • war
  • civil disturbance
  • governmental action
  • major internet or infrastructure outages
  • power failures
  • third party platform failures
  • labor disruptions
  • severe cybersecurity incidents
  • other similar events outside reasonable control.

29. Communications

Customer communication may occur through:

  • contact@workpilo.com
  • other authorized Workpilo email addresses
  • WhatsApp
  • another method mutually agreed with the customer.

You are responsible for providing accurate contact details and monitoring the communication channel used for the project.

30. Electronic Communications

You agree that estimates, invoices, confirmations, notices, and other project communications may be provided electronically.

Electronic communications satisfy any requirement that communications be made in writing to the extent permitted by applicable law.

31. Changes to These Terms

We may update these Terms from time to time.

The current version will be published on workpilo.com with the applicable “Last Updated” date.

Changes generally apply prospectively.

An accepted service agreement will not be materially changed retroactively merely because these website Terms are later updated, except where required by law or agreed between the parties.

32. Severability

If any provision of these Terms is found unenforceable, invalid, or unlawful, the remaining provisions will continue in effect to the fullest extent permitted by law.

33. No Waiver

Failure by Workpilo to enforce a provision of these Terms does not waive the right to enforce that provision later.

34. Governing Law

These Terms and disputes relating to Workpilo services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

35. Dispute Venue

Subject to any mandatory consumer rights or jurisdictional rules that cannot legally be waived, disputes relating to these Terms or Workpilo services will be brought before a court of competent jurisdiction in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, as applicable.

The parties consent to the jurisdiction of those courts to the extent permitted by law.

36. Mandatory Consumer Rights

Nothing in these Terms is intended to remove rights that cannot legally be waived.

If you are a consumer in a country or region that provides mandatory consumer protections, those protections continue to apply where required.

This may include statutory cancellation, refund, warranty, or jurisdiction rights.

37. Entire Agreement

For a particular service, the agreement between Workpilo and the customer consists of:

  • the accepted estimate
  • these Terms
  • applicable project specific written conditions
  • the Refund Policy
  • any other document expressly incorporated into the agreement.

These materials represent the agreement concerning that service and replace prior discussions concerning the same scope, except where otherwise agreed in writing.
